The University Club Board invites you to the 2020 Dalhousie University Club AGM, which will include an important motion about the future of the club (see Special Resolution below). The meeting will be held on today at 12:30 p.m. via Microsoft Teams.
To attend the meeting, please RSVP. You will then be added to the Microsoft Teams invitation for the meeting. Arrangements can be made for you to vote by proxy.
If you are not able to attend and have any questions or comments, please contact me (current UCLub president) at donna.bourne-tyson@dal.ca.
All full- and part-time employees and retirees of Dalhousie University and the University of King’s College as well as Dalhousie’s teaching hospitals and medical research institutes are welcome to attend as University Club members, as are graduate students, students in Law/Medicine/Dentistry, postdoctoral fellows and grant-paid employees.
The future of the University Club
On behalf of the UClub Board, I would like to express our appreciation for the loyalty and support our members have demonstrated over the years. The club is a space that means a lot to all of us.
The UClub has faced significant challenges in the past decade, leading up to and including this current pandemic. The Club has run a small deficit for most of the past decade. Our accessibility challenges (the lack of an elevator or accessible washrooms) have significantly slowed event bookings that are essential to our bottom line and to a culture of inclusivity.
Our talented volunteer Board, made up your friends and colleagues from across Dalhousie and King’s, has worked hard on identifying the best path forward for the University Club. We have concluded that the things the Club needs to succeed longer term — from a physical revitalization to general economies of scale — simply aren’t achievable on our own as an independent not-for-profit Board.
A dedicated Transition Team has been assembled within Dalhousie to explore the possibilities for an accessible, sustainable University Club. Members from the Transition Team will be present at the AGM to answer your questions, as will members of our current Board.
During the AGM, we will be putting forth a motion to dissolve our not-for-profit Board and transfer responsibility for the University Club to Dalhousie University.
Special Resolution
Surrender of Certificates of Incorporation and Name Change for
DALHOUSIE UNIVERSITY CLUB (the “Society”)
RESOLVED as a special resolution of the Members of the Society that:
- the Society is hereby authorized to make an application to the Registrar of Joint Stock Companies for the Province of Nova Scotia for the surrender of its Certificate of Incorporation and its Certificate of Name Change, and the fixing of a date upon and from which the Society shall be dissolved in accordance with the provisions of Section 26 of the Societies Act (Nova Scotia); and
- that any officer or director of the Society be and is hereby authorized and directed to prepare, sign and file a printed copy of this special resolution with the Nova Scotia Registrar of Joint Stock Companies
